Lectra says the Gemini acquisition is in line with its strategy of developing its presence in the fashion market and enriching its value proposition.
Founded in 2004, Gemini has developed several innovative software solutions, essentially Computer-Aided Design (CAD), for small and medium-sized fashion companies. Thanks to its network of partners, Gemini is present in over 60 countries.
The transaction sees the immediate acquisition of 60% of Gemini immediately for EUR7.6m (US$9.02m). The acquisition of the remaining capital and voting rights will take place in two steps, in September 2024 and September 2026.
The total consideration for the acquisition of 100% of Gemini’s capital will depend on Gemini’s revenue growth, and should be comprised of between EUR13-20m.

The deal follows news in June that Lectra is to acquire French company Neteven, an SaaS platform that enables brands to simplify and monitor the distribution of their products on the world’s largest online marketplaces.
The transaction sees the immediate acquisition of 80% of Neteven for EUR12.6m (US$15.05m), with the the remainder of capital and voting rights to follow in June 2025. The amount will be between 0.6 to 0.9 times 2024 recurring revenues.
